Introduction
These Terms & Conditions (“Terms”) govern your use of Panache Trading Company’s website and services. By accessing our website or engaging our services, you agree to these Terms. If you do not agree, do not use the website or request services.
Services
Panache Trading Company provides preventative maintenance, equipment repair, delivery and installation, gym flooring, equipment sales, and related services. Service scope, pricing, and timelines are set in written estimates, work orders, or service agreements.
Estimates, Quotes, and Orders
All estimates and quotes are valid for the time period specified. Written confirmation (purchase order, signed estimate, or online acceptance) is required to initiate work. Additional work beyond the scope will be billed separately.
Payment Terms
Payment is due as specified on invoices. Standard terms are net 30 days unless otherwise agreed in writing. Late payments may incur interest at the lesser of 1.5% per month or the maximum permitted by law. Clients are responsible for collection costs and legal fees if collection action is necessary.
Cancellation and Rescheduling
Appointments may be cancelled or rescheduled with at least 48 hours’ notice. Late cancellations or no-shows may be subject to a cancellation fee.
Warranties and Disclaimers
We warrant that services will be performed in a professional manner consistent with industry standards. Parts furnished by us may carry manufacturer warranties where applicable. Except as expressly stated, all other warranties—express or implied—including merchantability or fitness for a particular purpose, are disclaimed to the fullest extent permitted by law.
Limitations of Liability
To the maximum extent permitted by law, Panache Trading Company’s total liability for any claim arising from services or goods provided is limited to the amount paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, punitive, or special damages, loss of profits, or loss of data.
Client Responsibilities
Clients must provide safe access to equipment and accurate information about equipment history and usage. Electrical power, clear access, and any required site permits must be available at scheduled service times. Clients are responsible for securing valuables and notifying us of safety concerns.
Third-Party Products and Brands
We may supply, install, or service products from third-party manufacturers. Use of third-party products is subject to the manufacturer’s terms and warranties. We are not responsible for defects caused by manufacturer design or recall.
Parts and Returns
Replacement parts are subject to manufacturer return policies. Custom or special-order items may be non-returnable. Ownership of replaced parts passes to Panache Trading Company unless otherwise agreed.
Intellectual Property
All content on our website, including text, images, logos, and designs, is owned by Panache Trading Company or licensed to us. You may not reproduce or use our intellectual property without written permission.
Privacy
Our Privacy Policy describes how we collect and use personal information. By using our services, you consent to the practices described in that policy.
Termination
Either party may terminate service agreements for material breach if the breach is not cured within a specified period after written notice. Termination does not relieve the client of payment obligations for work performed or costs incurred prior to termination.
Force Majeure
We are not liable for delays or failures resulting from causes beyond our reasonable control, including natural disasters, strikes, acts of government, pandemics, or supplier shortages. Affected obligations will be suspended for the duration of the event.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Disputes will be resolved through binding arbitration in Miami, Florida, under the rules of the American Arbitration Association, unless otherwise agreed. Each party bears its own legal fees unless a tribunal awards costs to the prevailing party.
Changes to Terms
We may revise these Terms from time to time. The revised Terms become effective when posted on the website with the updated effective date. Continued use of services after changes constitutes acceptance.
